Terms of Service

Effective date: March 20, 2026. These Terms apply globally to users, brands, agencies, and influencers using PartnerCop services.

1. Acceptance and Scope

By accessing or using PartnerCop websites, services, campaigns, communications, and related tools, you agree to these Terms of Service. If you do not agree, do not use the services.

These Terms are a general framework and may be supplemented by campaign-specific agreements, insertion orders, statements of work, influencer agreements, or payout terms.

2. Service Model

PartnerCop operates as a full-service digital, affiliate, and influencer marketing agency. We manage campaign planning, creator matching, execution, optimization, reporting, and related operations.

We do not provide a self-serve advertiser dashboard. Influencer account access may be provided to approved creators for campaign participation and performance tracking.

3. Eligibility and Authority

You represent that you are legally capable of entering binding agreements and that you have authority to act on behalf of any brand, agency, business, or creator entity you represent.

We may request verification documents and may suspend or refuse service if eligibility, authenticity, or authority cannot be reasonably established.

4. Brand and Agency Responsibilities

  • Provide accurate campaign information, approvals, and legal claims.
  • Ensure product, service, and landing page compliance with applicable laws.
  • Honor payment obligations, including commission and fee terms.
  • Promptly notify us of restrictions, regulated categories, or compliance requirements.

5. Influencer Responsibilities

  • Provide accurate profile, audience, and payout details.
  • Follow campaign instructions, disclosure rules, and platform policies.
  • Avoid fraudulent, deceptive, automated, or incentivized prohibited activity.
  • Comply with all advertising, consumer, and endorsement laws in relevant jurisdictions.

6. Campaign Terms, Performance, and Attribution

Campaign objectives, payout criteria, and validation methods are defined per campaign agreement. Attribution decisions may rely on platform data, tracking infrastructure, anti-fraud controls, and agreed measurement windows.

PartnerCop may adjust, reject, reverse, or withhold credited events that are invalid, fraudulent, duplicated, canceled, refunded, chargebacked, non-compliant, or otherwise outside campaign terms.

7. Fees, Commissions, and Payment

Fees and commissions are governed by written commercial terms. Payment timing may depend on brand remittance, verification cycles, refund windows, risk checks, and applicable tax or compliance requirements.

You are responsible for applicable taxes, duties, and reporting obligations unless expressly stated otherwise in writing.

8. Prohibited Conduct

Users may not:

  • Engage in fraud, bot activity, spam, spoofing, or deceptive promotion.
  • Misrepresent identity, affiliation, audience quality, or campaign results.
  • Infringe third-party rights, including IP, privacy, publicity, or contractual rights.
  • Attempt to interfere with systems, tracking, data integrity, or security controls.

9. Intellectual Property

Each party retains ownership of its pre-existing intellectual property. Campaign deliverables, usage rights, and licenses are governed by the applicable campaign contract or written approval terms.

10. Confidentiality

Non-public business, campaign, pricing, and technical information shared in connection with services is confidential and must not be disclosed except as authorized or legally required.

11. Suspension and Termination

We may suspend, limit, or terminate access for breaches, risk, fraud, payment default, legal concerns, or misuse. You may terminate ongoing services per applicable contract terms.

Clauses intended to survive termination, including payment, confidentiality, indemnity, limitation of liability, and dispute provisions, remain enforceable.

12. Disclaimers

Services are provided on an as-available basis. Marketing outcomes are influenced by multiple external factors, and no guaranteed revenue, ranking, reach, or conversion level is promised unless explicitly stated in a signed agreement.

13. Limitation of Liability

To the maximum extent permitted by law, PartnerCop and its affiliates are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Aggregate liability is limited to amounts paid to PartnerCop for the relevant services during the period specified in the governing agreement, or if none, the prior three months.

14. Indemnity

You agree to defend and indemnify PartnerCop against claims, losses, liabilities, and costs arising from your breach, unlawful conduct, infringement, misleading claims, or campaign non-compliance.

15. Governing Law and Disputes

Unless otherwise agreed in writing, disputes should first be handled through good-faith negotiation. If unresolved, disputes are governed by applicable law and competent jurisdiction as defined in the controlling commercial agreement.

16. Changes

We may update these Terms at any time. Updates are effective upon posting. Continued use after updates constitutes acceptance.
